Course Terms and Conditions

These Course Terms and Conditions apply when a person or organisation purchases access to an OvationXL programme through https://outsiderinsider.co.uk/, Podia or another sales route that refers to these terms.

3.1 Who we are

 

The programme is supplied by OVATIONXL LIMITED, registered in England and Wales under company number 06228860, with its registered office at B123 Ambassador Building, 5 New Union Square, London, England, SW11 7BP. Contact: robin.johnson@ovationxl.com.

 

3.2 Business and consumer customers

 

Our programmes are primarily designed for professional firms and other organisations purchasing access for their personnel. If you purchase wholly or mainly for purposes outside your trade, business, craft or profession, you may be a consumer and additional statutory rights may apply. Nothing in these terms limits rights that cannot lawfully be excluded.

 

3.3 The programme

 

The relevant sales page describes the programme, access option, number of authorised participants, content, support and price. The current programme comprises six leadership modules delivered through a hosted platform. Unless the sales page states otherwise, access is provided for 12 months from purchase, videos are available for streaming but not download, and any downloadable reference materials are for authorised internal use only.

The Structured Programme Licence and Guided Programme Licence allow access for up to 20 nominated participants, unless a different number is agreed in writing. Bespoke organisational arrangements will be set out in a separate proposal or order.

 

3.4 Ordering and formation of the contract

 

Please check the order details before submitting payment. A contract is formed when we or our course platform accept the order and send confirmation of purchase or access. We may reject or cancel an order before acceptance, for example where a price is clearly incorrect, payment is not authorised or the programme is unavailable.

 

3.5 Price, VAT and payment

 

Prices are shown on the relevant sales page. Unless stated otherwise, prices exclude VAT, which will be added where applicable. Payments are processed through PayPal using the checkout connected to Podia. OvationXL does not receive or store your complete PayPal login or payment-card details.

 

3.6 Access and participant administration

 

The purchaser is responsible for providing accurate participant details and ensuring that access is used only by the authorised participants. Login credentials must not be shared. Access begins when it is activated and ends automatically at the expiry of the stated access period.

For an organisational licence, the purchaser may ask to replace a nominated participant, provided the request is made in writing, the replacement meets any eligibility requirements and the original participant has not substantially used the programme. We may reasonably refuse repeated or abusive substitutions.

 

3.7 Acceptable use and intellectual property

 

All programme content, recordings, videos, slides, reference notes, exercises, frameworks, methods, templates, branding and supporting resources are owned by or licensed to OvationXL.

You must not, and must ensure that participants do not:

  • share logins or provide access to anyone outside the authorised group;
  • record, copy, reproduce, publish, distribute, resell or commercially exploit the programme or its materials;
  • download videos or other content unless a download is expressly provided;
  • remove copyright or proprietary notices; or
  • use the programme or platform unlawfully or in a way that interferes with other users.

We may suspend or terminate access where payment is overdue or where these terms are materially breached. Suspension or termination does not affect accrued payment obligations or our other legal rights.

 

3.8 Consumer cancellation rights

 

If you are a consumer purchasing online, you normally have 14 days from the date the contract is formed to cancel without giving a reason.

Where you ask us to provide immediate access to digital content during that period, we may ask you to give express consent to immediate supply and to acknowledge that you will lose the right to cancel once supply of the digital content has begun. If the legally required consent and acknowledgement have not been obtained, your statutory rights remain unaffected.

Where a Guided Programme includes a live implementation discussion or another service and you ask for that service to begin within the cancellation period, you may be required to pay a proportionate amount for any service supplied before you cancel, to the extent permitted by law.

To exercise a statutory cancellation right, email robin.johnson@ovationxl.com with your name, organisation, programme and purchase date. We will make any refund due without undue delay and using the original payment method where reasonably possible.

 

3.9 Business cancellations and refunds

 

Where the purchaser is acting in the course of business, there is no statutory cooling-off period. Unless we agree otherwise in writing, an accepted organisational licence is non-cancellable and non-refundable once programme access has been activated. We may, at our discretion, permit a participant substitution, transfer or credit where reasonable. This does not affect any right arising because the programme is not supplied with reasonable care and skill or does not materially match its description.

 

3.10 Changes, postponement and cancellation by us

 

We may make reasonable changes to programme content, sequencing, platform, materials or personnel to keep the programme accurate, relevant and operational. We will not materially reduce the overall substance of a purchased programme.

If we cancel a paid programme or a material element that cannot reasonably be replaced, we will offer an appropriate remedy, which may include continued access, an alternative date or service, a credit or a refund for the affected element.

 

3.11 Guided and bespoke services

 

Any live discussion, workshop, mentoring or bespoke support included in or added to a programme may be subject to agreed scheduling, attendance and rescheduling arrangements. Bespoke work may also be governed by a separate proposal, statement of work or engagement terms. Where there is a conflict, the specific written agreement for that work takes priority.

 

3.12 Technical requirements and third-party platform

 

Participants need a suitable device, reliable internet connection, current browser, email access and any other software stated on the sales page. The programme is hosted through Podia. Platform availability may occasionally be affected by maintenance, security events or matters outside our reasonable control. We will take reasonable steps to restore or provide alternative access where appropriate.

 

3.13 Programme outcomes

 

The programme provides leadership education, practical tools and guidance. It does not guarantee any particular business, financial, career, promotion, retention or performance outcome. Results depend on the participant, their organisation, implementation and circumstances.

 

3.14 Liability

 

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

For business customers, subject to the preceding paragraph, our total liability arising from a programme purchase will not exceed the total amount paid for that programme. We will not be liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, data or any indirect or consequential loss. These limitations do not apply where liability cannot lawfully be limited.

For consumers, we are responsible for foreseeable loss caused by our breach of contract or failure to use reasonable care and skill, but not for business losses or loss that was not foreseeable.

 

3.15 Data protection

 

We use personal information in accordance with our Privacy and Cookie Policy. Podia and PayPal also process information under their own privacy notices.

 

3.16 Complaints

 

Please send questions or complaints to robin.johnson@ovationxl.com. We will acknowledge the complaint and aim to respond within a reasonable period.

 

3.17 General terms

 

You may not transfer your rights under these terms without our written consent, except for an authorised participant substitution permitted above. We may transfer our rights and obligations where this does not reduce a consumer’s rights.

If any provision is found invalid or unenforceable, the remaining provisions will continue in effect. A delay in enforcing a right does not waive that right. These terms, together with the relevant sales page and any order or proposal, form the agreement for the programme.

 

3.18 Governing law and jurisdiction

 

These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction. If you are a consumer resident elsewhere in the UK, you may also be entitled to bring proceedings in the courts of the part of the UK in which you live.
